Applies to: (1) Clinical services (in-person, telehealth, patient portal) and (2) E-commerce websites and online stores offering Vital Rituals skincare and related content (collectively, the “Services”).
By accessing or using the Services, creating an account, booking an appointment, or making a purchase, you agree to these Terms of Use (“Terms”). If you do not agree, do not use the Services.
1) Eligibility & Accounts
Age. You must be 18+ (or the age of majority where you live) to use the Services. Minors may receive clinical services only with verified parent/guardian consent where permitted by law.
Account Security. Keep credentials confidential and current. You’re responsible for activity under your account. Notify us of suspected unauthorized use.
Accuracy. Provide true, current, and complete information.
2) Clinical Services; No Emergency Care
Not for Emergencies. Do not use the Services for emergencies. Call 911 or your local emergency number.
Professional Relationship. Site content is educational only and does not create a provider-patient relationship. A relationship arises only after a clinical encounter and our acceptance of you as a patient.
Telehealth. Telehealth may involve electronic communications, video, images, and data. You consent to telehealth risks/benefits presented at the time of visit.
Scope & Availability. Clinical services may be available only in certain jurisdictions and may be rendered by or through independent licensed professionals. We may decline or discontinue service consistent with law and standards.
No Guarantees. Outcomes vary; no guarantees.
HIPAA Note. When we provide clinical care, your information may be Protected Health Information (PHI) governed by HIPAA. PHI use/disclosure is described in our Notice of Privacy Practices (NPP) (available upon request). When you use the retail site or marketing experiences, our Privacy Policy applies to non-PHI data.
3) Health & Safety; Rx/Compounded Products
Education Only. Product descriptions, articles, and videos are not a substitute for professional medical advice, diagnosis, or treatment.
Consult Your Provider. Discontinue use and consult a clinician if irritation occurs or if you are pregnant, nursing, or have known sensitivities. Consider a patch test.
Prescription Items. Some products are Rx-only and dispensed only with a valid prescription where legally permitted.
Compounded Products. If compounded, preparations are customized and not FDA-approved; prepared by licensed pharmacies under applicable regulations.
Regulatory Disclaimer. Cosmetic statements have not been evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent any disease. Follow labeled directions and your provider’s guidance.
4) E-Commerce: Orders, Pricing, Shipping
Order Acceptance. We may accept, reject, or cancel orders (e.g., suspected fraud, stock issues, address errors). Cancelled orders are refunded.
Pricing/Promos. Prices, promotions, and availability may change; errors will be corrected when discovered. Taxes/shipping added at checkout.
Payment. Processed by third-party processors (e.g., Shopify/Stripe/PayPal/Apple Pay/Google Pay). We do not store full card numbers.
Shipping & Risk of Loss. Title/risk of loss pass upon carrier delivery to your address. Delivery dates are estimates only.
5) Return & Refund Policy (Retail & Clinical)

A) Retail (Vital Rituals E-commerce)
Return window: Within 30 days of delivery for unopened, unused items in original packaging.
Not returnable:
Prescription (Rx) or compounded items
Opened/used skincare, trial/travel sizes, items marked Final Sale
Gift cards, samples, and partial kit returns (kits must be returned complete)
Shipping fees, duties, taxes (non-refundable)
Damaged/defective or wrong item: Email within 7 days of delivery with your order # and clear photos. We’ll replace or refund.
Allergy/irritation: Stop use and email within 14 days of delivery. We’ll troubleshoot and may, at our discretion, offer an eligible exchange or credit on unopened product.
How to start a return:
Email [email protected] with order #, item(s), and reason.
We’ll issue an RMA and instructions. Use a trackable carrier.
Unless defective/wrong item, customer pays return shipping.
After inspection, refunds go to the original payment method within 5–10 business days (or store credit if original method unavailable).
Exchanges: Place a new order; eligible items can be returned per this policy.
Lost/stolen packages: Once a carrier shows Delivered, risk of loss passes to you. We’ll help file a claim and explore options.
Packaging condition: We may apply up to a 10% restocking adjustment if outer packaging is missing/heavily damaged (product must remain sealed/unused).
B) In-Clinic Retail Purchases
Unopened, unused retail products may be returned within 14 days of purchase with receipt. Rx/compounded items and opened products are not returnable.
C) Clinical Services
Fees for clinical services (consults, procedures, telehealth) are non-refundable once rendered. Late cancellations/no-shows may incur fees per your appointment confirmation. Prescriptions follow law and cannot be returned.
6) Subscription Terms (Auto-Renew)

Enrollment & billing. By starting a subscription, you authorize recurring charges at the selected interval (e.g., 30/60/90 days) to your saved payment method until you cancel.
Reminders. We email before each renewal with next ship date/amount.
Manage, pause, skip, cancel. Modify/cancel before the next billing date in your account or by emailing us. Once an order bills, it’s in fulfillment and cannot be canceled—eligible items may be returned per Section 5.
Price changes. We may update prices/terms with notice; continuing after notice constitutes acceptance.
Payment issues. If a charge fails, we may retry or request updated details; orders ship after payment clears.
Discounts/gifts. Subscription discounts/promos apply only while active and may not stack; gifts-with-purchase subject to availability.
Free trials. If offered, charges begin at trial end unless canceled before renewal.
Prepaid plans. Non-refundable after first shipment; fulfill over the selected period.
Returns. Subscription shipments follow Section 5.
7) Acceptable Use & Prohibited Conduct
You agree not to: violate laws or others’ rights; upload harmful code; circumvent security; disrupt the Services; scrape or use bots without permission; misrepresent identity; attempt unauthorized access; or use the Services to provide medical advice without licensure. We may suspend/terminate access for violations.
8) User Content & Reviews
License. You grant us a worldwide, royalty-free, sublicensable license to host, use, reproduce, modify, publish, and display your reviews/images/feedback (“User Content”) in connection with the Services and marketing, subject to our Privacy Policy and applicable law.
Standards. Do not submit unlawful, defamatory, obscene, infringing, or misleading content. We may moderate, edit, or remove User Content at our discretion.
9) Intellectual Property
All content—text, designs, logos, product names, graphics, images, videos, software, and the compilation thereof—is owned by or licensed to Vital Radiance and protected by IP laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.
10) Third-Party Links & Services
We may link to or integrate third-party websites/tools. We are not responsible for third-party content, policies, or practices. Use at your own risk.
11) Privacy; Data Practices
Your use of the Services is subject to our Privacy Policy (non-PHI) and our Notice of Privacy Practices (PHI). These describe how we collect, use, disclose, and protect information and your choices. By using the Services, you consent to those practices.

Types:
Strictly Necessary: security, cart, checkout, login (always on).

Functional: preferences (e.g., location, language).
Advertising/Targeting: ad personalization/measurement (e.g., Meta Pixel, Google Ads).

We honor recognized Global Privacy Control (GPC) signals where mandated. We do not currently respond to browser “Do Not Track” signals due to lack of a uniform standard.

13) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT/PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and non-interference. We do not warrant uninterrupted or error-free operation, accuracy, or that defects will be corrected. Skincare/clinical outcomes vary by individual.
14) Limitation of Liability
To the fullest extent permitted by law, Vital Radiance and its owners, clinicians, affiliates, and vendors are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages; or for loss of profits, data, goodwill, or business interruption. Our total liability for any claim will not exceed the amount you paid to us for the product/service at issue in the 12 months preceding the claim, or $100, whichever is greater. Some jurisdictions do not allow certain limits, so some may not apply to you.
15) Indemnification
You agree to defend, indemnify, and hold harmless Vital Radiance Wellness, BioCore Therapeutics and its owners, clinicians, affiliates, and employees from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your: (a) use of the Services; (b) User Content; (c) violation of these Terms or law; or (d) violation of third-party rights.
16) Communications; SMS/Email
By providing contact information or opting in, you consent to receive transactional and marketing communications (email/SMS). Msg/data rates may apply. Opt out any time (reply STOP to SMS; use unsubscribe in emails).

18) Governing Law; Dispute Resolution; Class Action Waiver
Governing Law. These Terms are governed by the laws of the State of Florida, without regard to conflicts of law.
Arbitration. Except for small-claims or injunctive relief, disputes will be resolved by binding arbitration administered by [AAA/JAMS] under its rules, on an individual basis in Orange County, Florida (or remote if allowed).
Class Action Waiver. You and Vital Radiance agree to resolve disputes only individually and not as a class/representative action.
Opt-Out. You may opt out of arbitration/class waiver within 30 days of account creation or first purchase by emailing [email protected] with subject “Arbitration Opt-Out” and your full name and address.
19) International Users; Export
You are responsible for compliance with local laws. Do not use or export products/content in violation of U.S. export laws or other applicable regulations.
20) Termination
We may suspend or terminate access at any time, with or without notice, for conduct we believe violates these Terms or law. Upon termination, your right to use the Services ceases immediately. Provisions that by nature should survive (IP, disclaimers, liability limits, indemnity, dispute resolution) survive.
21) Changes to the Services or Terms
We may modify the Services and update these Terms from time to time. The Effective Date reflects the latest revision. Material changes will be posted, and your continued use after changes constitutes acceptance.
22) Miscellaneous
Entire Agreement. These Terms, plus our Privacy Policy and NPP (for PHI), are the entire agreement regarding the Services.
Severability. If any provision is invalid, remaining provisions remain in effect.
Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
Waiver. Our failure to enforce a provision is not a waiver.
